Description and interpretation

PRG TRAVEL LTD, having its offices in London, United Kingdom, 15-19 Cavendish Place, W1G 0DD, hereafter referred to as HOTELPLAYER.COM, is the publisher of online advertising for tourist and travel related companies or organizations. 'HOTELPLAYER.COM', 'Publisher', 'we', 'our', 'ourselves' and 'us' mean PRG TRAVEL LTD. 'Advertiser' shall mean the company referenced above, which may be either the entity that is submitting advertisements or campaigns, or an agency that represents the party that is submitting advertisements or campaigns. 'Ad' means any advertisement, including all creative provided to HOTELPLAYER.com by the Advertiser. 'Campaign' means a series of Ads, E-mails or offers (delivered either via Ad or via E-Mail) of the Advertiser. 'Service' means the process whereby HOTELPLAYER.com posts Ads and/or Campaigns of Advertiser.

Advertising Services

Subject to these Terms and Conditions, HOTELPLAYER.com will publish Advertisements submitted by the Advertiser in the format submitted by the Advertiser and in accordance with the given placement instructions. All insertion orders and creative materials are subject to our final approval. We reserve the right to reject any creative that we believe is inappropriate for the HOTELPLAYER.com audience or that which fails to meet our technical specifications or requirements. HOTELPLAYER.com makes reasonably commercial efforts to make the service generally available 24 hours a day, 7 days a week, except for planned downtime or downtime caused by circumstances beyond HOTELPLAYER.com’s reasonable control. HOTELPLAYER.com makes no guarantee regarding the results it will be obtained from the advertisement. So that HOTELPLAYER.com can place the advertisements, advertisers grant to HOTELPLAYER.com a worldwide, nonexclusive, royalty-free, perpetual, and irrevocable license to place, publish, reproduce, copy, distribute, perform and display the advertisements. Materials submitted by the advertiser to HOTELPLAYER.com will not be returned in any circumstances. HOTELPLAYER.com does not guarantee that the Advertiser’s product featured in an Advertisement will be the only product of that type featured in Advertisements on any one page.

Pricing and Payment

Full payment is required for any campaign to start. Following the submission of the advertising order, advertisers will be invoiced and full prepayment is required for the campaign to start. Available method of payments are: Debit or Credit card, Bank Transfer (UK only) and Paypal. There is no automatic renewal of the advertising packages. Advertisers will be notified by email when the total number of impressions/clicks has been delivered or the tenancy period has expired. In no circumstances does the placing of an order confer the right to renew on similar terms.

Cancellation and Termination

HOTELPLAYER.COM may cancel or remove any advertisement in its sole discretion any time, for any reason or no reason at all. Advertisers may request for a campaign to be suspended or cancelled. Requests must be sent by email to advertise@hotelplayer.com at least 3 days before the date of termination. Refunds (if any) are at the discretion of HOTELPLAYER.com and may be in the form of a credit for advertising placement on HOTELPLAYER.com.

Representations

Advertisers represent and warrant that: (a) They have all rights in and to the advertisements that are necessary to place and display the advertisements, and to grant the rights granted under these terms; (b) the advertisements are not false or misleading; (c) the advertisements, along with the products or services being advertised, do not infringe the rights of any third party, and do not violate or encourage the violation of any applicable laws or regulation. Advertisers assume liability for all content, including text and illustrations of banners or advertisements, and also assume responsibility for any claims arising therefrom made against HOTELPLAYER.com including costs associated with defending against such a claim.

Information provision

Advertisers agree to our sending to them by e-mail updates any additional information in respect of HOTELPLAYER.COM new features and other information from time to time as we consider appropriate in our absolute discretion.

Data protection

HOTELPLAYER.com comply at all times with all relevant data protection and privacy laws which arise in connection with these Terms and Conditions including but not limited to those obligations relating to personal data concerning advertisers.

Non-exclusivity

Nothing in this Agreement confers any rights on either party to restrict the other party's ability to do business, or choose not to do business, with other entities.

Third party rights

A person who is not a party of this Agreement shall have no rights under the Contracts (Rights of Third Party) Act 1999 to enforce any term of this Agreement. This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.

Severability

In the event that any provision of this Agreement is void, voidable, illegal or otherwise unenforceable a court of competent jurisdiction may sever the offending provision from this Agreement and the remaining provisions of this Agreement shall remain in full force and effect.

Governing law

The provisions of the Agreement are subject to English law and the parties submit to the non-exclusive jurisdiction of the English courts to resolve any disputes relating thereto.
